The stages can overlap, and clubs order them differently. Some review membership before final tax or certificate work; others require a more complete transfer file before board action. The correct sequence comes from the actual issuer's current process and the parties' professional advice, not a universal internet checklist.
Classify the interest before drafting anything
Start with the exact legal and club description:
- issuing corporation or club legal name;
- share, proprietary certificate, membership or playing-rights class;
- individual, corporate, nominee, trustee, assignee or estate-held structure;
- registered holder and intended new holder;
- approved member or user, dependants and nominees;
- voting, facility, guest and reciprocal rights;
- transfer, nationality, corporate-relationship and approval restrictions;
- original certificate or other issuer-recognised ownership evidence.
A sale of a share, change of corporate nominee, assignment of playing rights and transfer to an heir are not interchangeable. What Philippine corporate law contributes
Section 62 of the Revised Corporation Code states that shares of stock are personal property and may be transferred by delivery of the certificate endorsed by the owner or a legally authorised person. It also states that a transfer is not valid, except between the parties, until it is recorded in the corporation's books with the parties, date, certificate number and number of shares transferred. A share against which the corporation holds an unpaid claim is not transferable in its books.
That provision does not erase club-specific membership rules. It also should not be forced onto an arrangement that is not a share of stock. Forest Hills' 2025 Supreme Court decision illustrates the need to examine the issuing entity, share structure and bylaws; ownership and membership recognition can involve related but distinct questions.
Ask the issuer what record it updates at completion: stock and transfer book, proprietary register, membership roll, nominee record, new certificate or several of these. Define the expected evidence in the written agreement.

Build the buyer and membership-application file
Current club requirements commonly include a membership application, valid IDs, photographs, endorsements, proposer or seconder details, interview, posting to members, corporate records and relationship or employment evidence. Foreign applicants can have additional passport, immigration, employment or fee documentation. The exact set belongs to the club and class.

Obtain the current club transfer and clearance file
Request the current version directly from the issuer through independently verified contact details. The file should answer:
- which seller and buyer forms apply to this class;
- whether the original certificate must be endorsed, surrendered or replaced;
- which deed, assignment or club form is accepted;
- what account balance must be paid and when clearance is issued;
- which transfer, admission, application and nominee fees apply;
- which BIR return, eCAR, certification or other tax evidence is required;
- when the membership committee or board reviews the file;
- what happens after approval and how long certificate work may take;
- what final record proves the old and new holder or member status.

Prepare the transaction agreement as a control document

- seller, buyer, beneficial owner and representative capacity;

Build the BIR and valuation file for the actual transaction
BIR RMO 17-2026 Annex D contains a current ONETT checklist for onerous transfers of shares not traded through the local stock exchange. It lists the notarised transfer document, stock certificate or subscription evidence, proof of acquisition cost and proof of valuation. For club shares, its valuation item asks for the price published in newspapers on the transaction date or nearest to it. It also lists applicable authority, claimed-deduction, original-issuance DST and overseas-execution evidence.
The same Annex D separately describes proprietary club shares held under a nominee or trust agreement, including original and new trust documents, corporate payment and asset records and a board or secretary confirmation that the event is without monetary consideration and does not transfer beneficial ownership.
