A deposit can show that a buyer is serious, but it can also move risk to the buyer before ownership, seller authority, club requirements or approval conditions are settled. The safer question is not simply how much to deposit. It is what the payment is called, who holds it, what evidence controls it, when it becomes refundable or forfeitable, and which verified event releases each later amount.

Short answer: do not transfer a club-share deposit from a chat instruction alone. Use a professionally reviewed written agreement that identifies the exact interest and parties, separates the purchase price from club and professional charges, names every payee and account, defines the holder's powers, lists objective release documents, covers club rejection and failed verification, and requires independent reconfirmation of bank details before every material payment.

Do not combine these layers into one unexplained transfer. A club's own fee can be payable before the seller's balance, while a professional fee may become due at a different milestone. Eagle Ridge's published Class A or B proprietary-share checklist, for example, lists transfer, admission and advance-dues amounts payable upon submission and specifies that the check must be payable to the club. That is evidence for Eagle Ridge's stated procedure, not a rule for every club.

Is escrow required for a club-share purchase?

There is no universal rule that every Philippine club-share transaction must use escrow, and the word should not be used as decoration. The Supreme Court has described an escrow as a written instrument deposited with a third party until a condition or event occurs and delivery becomes due. In another case, the Court reproduced an agreement under which money was placed with a mutually acceptable bank or financial institution and released only on presentation of specified documents under joint escrow instructions.

Those cases did not establish a standard club-share form. They illustrate the practical elements that distinguish a real custody arrangement from a payment sent to an account labelled “escrow”:

  • a written agreement among the relevant parties and accepted by the holder;
  • a clearly identified fund, account and beneficial purpose;
  • objective conditions and documents for release;
  • instructions for rejection, dispute, expiry and refund;
  • fees, interest treatment and tax reporting where relevant; and
  • a holder with verified identity, authority and operational ability to follow the instructions.

If a bank or other BSP-supervised institution is proposed, search its exact legal name in the BSP Verifier and confirm the arrangement directly through the institution's official channel. The BSP explains that its verifier indicates whether an institution is registered with or supervised by the BSP; it does not guarantee safety or assess a particular service or transaction. If a lawyer, broker or other person is proposed as holder, verify that person, professional capacity, authority, conflicts, account ownership and applicable rules separately.

Published auction rules show why buyers cannot import one arrangement into another. PDIC's 2024 Canlubang club-share invitation required a ten-percent bid deposit payable to PDIC and the balance within fifteen days, while also placing due diligence and club eligibility on the buyer. Valle Verde's published auction rules describe a ten-percent bid bond, return for non-winners, forfeiture after a winning bidder fails to pay the balance, and a separate membership application. These are transaction-specific examples, not market customs for private negotiated sales.

The ten clauses a payment agreement should answer

  1. Exact interest and parties. State the issuer, class, identifying record, registered owner, buyer and every authorised representative. Avoid a generic description such as “golf share.”
  2. Payment map. List the deposit, club charges, intermediary or professional fees, taxes and price balance separately. Identify who owes, earns and receives each amount.
  3. Deposit character. State whether the deposit is credited to the price, held pending conditions, immediately earned, partly deductible or refundable. Do not leave “reservation fee” undefined.
  4. Holder and account. Name the legal holder, financial institution, account title and authorised instructions. A nickname or account number forwarded in a chat is insufficient.
  5. Verification conditions. Cover ownership, seller authority, transferability, certificate status, account clearance and other evidence that must be satisfactory before the deposit changes character.
  6. Club conditions. Address the current checklist, complete application, required posting or interview, committee or board approval and club-recognised completion. A private payment does not force the club to admit the buyer.
  7. Release documents. Use named, objective evidence rather than “when the seller is ready” or “upon verbal confirmation.” State who decides whether each document complies.
  8. Refund and forfeiture. Allocate the result of failed ownership checks, seller default, buyer withdrawal, incomplete application, club rejection, missed deadlines, government delay and mutual termination.
  9. Dispute and long-stop mechanics. Define the last completion date, notice method, what the holder does during a dispute and how funds return if release conditions remain unresolved.
  10. Records and costs. Require receipts and a closing statement, and allocate custody charges, bank fees, interest if any, taxes and professional costs.

Not every transaction uses every stage, and stages can run in parallel. The value of the schedule is that it makes each payment decision auditable. Do not use an old checklist or another club's workflow as a substitute for current written confirmation.

Verify bank details with a two-channel protocol

  1. Receive the written payment instruction inside the agreed document or controlled channel.
  2. Match the recipient's legal name and role to the agreement, invoice and verified party records.
  3. Call a known number obtained independently from an official website, engagement letter or prior verified record.
  4. Read back the recipient, bank, account ending, amount, purpose and release stage. Do not ask the caller to supply the number you are meant to verify.
  5. Treat any account change as a new instruction requiring fresh written authority and fresh independent confirmation.
  6. Retain the confirmation date, person, channel, transfer reference and receipt in the closing file.

Do not share a one-time password, PIN, password or full payment credential with a seller, intermediary, club employee or supposed bank representative. Verify the financial institution through official channels, not a link inside the payment message.

If a transfer may be fraudulent, act immediately

Contact the sending financial institution through its official fraud channel immediately, provide the transaction reference and preserve the agreement, messages, invoices and verification log. BSP Circular No. 1215 establishes rules for temporary holding and coordinated verification of disputed electronic fund transfers by covered BSP-supervised institutions. Its process is conditional and is not a promise that money will be recovered; delay can reduce available options.

Follow the financial institution's incident process and, where appropriate, report through the official channels listed by the BSP Verifier for the SEC, NBI or PNP. Do not send another payment to a person who claims a second transfer is required to “unlock,” “reverse” or “verify” the first.
